Terms & Conditions

In short: Kovtel is a dashboard for managing your own Twilio account. You own your Twilio account and your relationship with your customers; you're responsible for complying with the law and with Twilio's own policies when you message or call people. We build the tool, we don't send messages on your behalf, and we never bill you for Twilio usage, Twilio does that directly.

1. Acceptance of these terms

By creating a Kovtel account or using the Kovtel dashboard ("Service"), you agree to these Terms & Conditions and our Privacy Policy. If you're agreeing on behalf of a company, you confirm you have the authority to bind that company.

2. The service

Kovtel is a web application that connects to a customer's own Twilio account (using the Account SID and Auth Token the customer provides) via the official Twilio API, and presents a simplified dashboard for phone numbers, messages, calls, recordings, balance and usage analytics. Kovtel can read data from your Twilio account and, where you explicitly configure it, write configuration (such as webhook URLs and number settings) back to Twilio. Kovtel does not itself originate, compose, or send bulk messages; any messages sent from your numbers are the result of your own configuration (for example, an auto‐reply you set up) or your own direct use of Twilio.

3. Accounts & eligibility

  • Kovtel is a private, invitation‐based tool. There is no public self‐service sign‐up; accounts are provisioned by us or an authorized administrator.
  • You must be at least 18 years old and able to form a binding contract to use Kovtel.
  • You're responsible for keeping your login credentials confidential and for all activity under your account.
  • Notify us immediately at the contact details in Section 15 if you suspect unauthorized access.

4. Your Twilio account & compliance responsibilities

You must have your own valid, active Twilio account in good standing to use Kovtel. You are solely responsible for:

  • The accuracy of the Twilio credentials you provide and for any Twilio charges incurred through your account.
  • Complying with Twilio's Acceptable Use Policy, Twilio's Messaging Policy, and any applicable A2P 10DLC or toll‐free verification requirements for your own messaging traffic.
  • Obtaining and documenting proper consent from anyone you message or call, and honoring opt‐out requests (such as STOP replies), in line with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and all other applicable laws in the jurisdictions you operate in.
  • The content of any messages sent from numbers you manage through Kovtel, whether sent manually via Twilio directly or automatically via a rule you configured in Kovtel (such as an auto‐reply or forwarding rule).
  • Not using Kovtel or your Twilio account to send unsolicited bulk messages ("spam"), phishing content, or any communication prohibited by Twilio, your carrier, or applicable law.

Kovtel may suspend automated features (such as auto‐reply or number webhooks) on a number if we reasonably believe it is being used in violation of Twilio's policies or this section, to protect your Twilio account from suspension by Twilio or carriers.

5. Fees & billing

  • Kovtel is billed at a flat $9 per month per connected Twilio account, in advance, until cancelled.
  • This fee covers access to the Kovtel dashboard only. All Twilio usage, phone number rental, SMS, MMS, voice minutes and recording storage, is billed to you directly by Twilio at Twilio's own rates. Kovtel does not mark up or resell Twilio usage.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period and no further charges will be made. Fees already paid are non‐refundable except where required by law.
  • We may change pricing with at least 30 days' notice; continued use after the change takes effect means you accept the new pricing.

6. Acceptable use

You agree not to use Kovtel to:

  • Send or facilitate spam, unsolicited marketing without consent, or any message violating Twilio's Messaging Policy.
  • Transmit unlawful, defamatory, harassing, fraudulent, or deceptive content.
  • Attempt to circumvent Twilio's, a carrier's, or Kovtel's security, rate limits, or compliance controls.
  • Reverse‐engineer, scrape, or resell the Kovtel dashboard itself without our written consent.
  • Use Kovtel in a way that violates any applicable law or the rights of any third party.

7. Intellectual property

Kovtel, its design, branding, and underlying software are owned by Kovtel and protected by applicable intellectual property laws. We grant you a limited, non‐exclusive, non‐transferable license to use the dashboard for your own internal business purposes while your subscription is active. You retain all rights to your own data, including your messages, call recordings, and contact information.

8. Relationship with Twilio

Kovtel is an independent product built using the official Twilio PHP SDK and Twilio's public APIs. Kovtel is not owned, operated, sponsored by, or affiliated with Twilio Inc., and is not endorsed by Twilio Inc. in any way. "Twilio" and the Twilio logo are trademarks of Twilio Inc. Your use of the underlying Twilio platform is separately governed by Twilio's own Terms of Service, which continue to apply in full alongside these Terms.

9. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee that Kovtel, or the underlying Twilio APIs it depends on, will be uninterrupted, error‐free, or available at all times. Delivery of messages and calls ultimately depends on Twilio and third‐party carriers, which are outside our control. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‐infringement.

10. Limitation of liability

To the maximum extent permitted by law, Kovtel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the fees you paid to Kovtel in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold Kovtel harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of Twilio's policies, or your violation of any law, including messaging and calling consent laws applicable to your own communications with your customers.

12. Termination

You may stop using Kovtel and disconnect your Twilio account at any time from Settings. We may suspend or terminate your access if you materially breach these Terms, including sustained violations of Twilio's Acceptable Use Policy or Messaging Policy, or if required to do so by law. Upon termination, your right to use the Service ends immediately; data retention after termination is governed by our Privacy Policy.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict‐of‐law principles. Any dispute arising from these Terms or your use of Kovtel will be subject to the exclusive jurisdiction of the courts of India.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continuing to use Kovtel after changes take effect constitutes acceptance of the revised Terms.
